NON-DISCLOSURE AGREEMENT

Effective Date: Upon Acceptance

1. PARTIES

This Agreement is between VIDing.AI ("Discloser") and the individual registering below ("Recipient").

2. CONFIDENTIAL INFORMATION

The Discloser will share proprietary selective video encoding technology, including but not limited to:

• Entropy-based block selection algorithms
• Saliency scoring methodologies
• Implementation source code and architecture
• Performance metrics and benchmarks
• All visual outputs and demonstrations

3. RECIPIENT OBLIGATIONS

The Recipient agrees to:

• Keep all Confidential Information strictly confidential for 5 years
• Use information solely for evaluation purposes
• Not disclose to any third party without prior written consent
• Not reverse engineer, copy, or replicate the technology
• Return or destroy all materials upon request

4. PERMITTED USE

Information may only be used to evaluate the technology for potential business collaboration, partnership, or investment opportunities.

5. LEGAL REMEDIES

Breach of this Agreement may result in irreparable harm. The Discloser reserves all legal remedies including injunctive relief and monetary damages.
